Alissa K. Lugo

Alissa Lugo focuses her practice on securities law and general corporate law. In her securities law practice, Ms. Lugo works with publicly held companies on corporate governance and securities law compliance issues, including board of directors and committee matters, preparation of proxy materials, periodic reporting, public disclosure, NYSE and NASDAQ compliance and executive compensation. She has assisted clients in conducting securities offerings, including both private placement and public offerings.

Ms. Lugo’s experience includes drafting Securities Exchange Act reports and other SEC disclosure documents, board and committee materials and corporate policies and procedures. She has experience drafting registration statements and other agreements in connection with securities offerings, filing and coordinating with the SEC, and the various state securities divisions in connection with such offerings, and generally advising clients in conducting these offerings.

Ms. Lugo’s practice involves other general corporate and business law matters, including formation and dissolution matters, shareholder, employee and executive matters and the preparation of business agreements. In her general corporate law practice, Ms. Lugo has assisted clients in the healthcare industry on general corporate and business law matters, as well as other healthcare compliance issues. Prior to joining the Business Group, Ms. Lugo practiced Trust & Estates law, whic included assisting clients in probate administration and litigation.

Ms. Lugo is a member of the Orange County Community Action Board. During law school, Ms. Lugo was a member of the Justice Campbell Thornal Moot Court Team, where she participated in competitions throughout the country and was the Intermural Chair in the fall of 2006.
