Law 360: Baker Hostetler Represents Texas Health in MedicalEdge Buy

In a deal thought to be the second biggest of its kind in U.S. history, Texas Health Resources Inc. has acquired MedicalEdge Healthcare Group Inc., one of the largest independent physician practice groups in North Texas. The deal closed December 31, 2010, and will bring more than 2,300 new employees to Texas Health. Texas Health was represented by a team of Baker Hostetler attorneys: Steve Eisenberg (CLE), Matt Tenerowicz (CLE), Ruth Ann Maloney (CLE), Brian Bulson (CLE), Matt Graban (CLE), Aaron O'Brien (CLE), Bob Wolin (CLE), Bill Toomajian (CLE), Donna Clark (HOU), John Mulhollan (CLE), Matt Oliver (CLE) and Chris Stanek (CLE).

Texas Health is affiliated with 24 acute care and short-stay hospitals and claims to be one of the largest faith-based nonprofit health systems in the country. Texas Health also operates outpatient facilities, an organization for medical research and education, and home, health preventive and fitness services.

MedicalEdge owns patient-access facilities in more than 250 locations and would add ancillary programs to Texas Health's portfolio, including sleep lab services, infusion services, diagnostic imaging and chiropractic services. “This enables Texas Health to become a ‘medical home’ for thousands of North Texas patients,” Douglas Hawthorne, CEO of Texas Health Resources, said in a statement Tuesday.
