Chris LeVeque

Since joining the firm in 2007, Chris LeVeque has focused his practice on corporate and federal securities law matters. Mr. LeVeque works closely with partners that serve as outside general counsel to both private and publicly traded companies, particularly emerging companies in the energy, automotive, mining, and technology industries. He has experience with a range of private offerings of debt and equity securities, continuing SEC reporting and compliance, public and private mergers and acquisitions, and general corporate governance issues.

Mr. LeVeque’s recent experience includes:

• Assisting in closing a reverse triangular merger that resulted in the client becoming a publicly traded company.
• Drafting private placement memoranda and related transaction documents for preferred equity and debt offerings.
• Responsible for closing an acquisition of a California corporation by a Florida corporation via a stock purchase agreement, including preparation of transaction documents.
• Preparing SEC filings, committee charters, corporate minutes, and related corporate documents for multiple clients.

In addition, Mr. LeVeque has assisted clients in commercial real estate transactions, including refinancings and negotiating purchase and sale agreements.
