Edward S. Ginsburg practices in the business area, principally in debt financing. He represents both lenders and borrowers in numerous types of secured and unsecured credit transactions, including financing of acquisitions and financing of working capital needs.
Mr. Ginsburg has extensive experience representing borrowers in tax-exempt bond financings, mostly involving credit enhancement or liquidity support from banks or bond insurers. He has represented large and small nonprofit healthcare institutions, including hospitals, hospital systems, nursing homes and assisted living facilities, in bond financings for construction projects, as well as refinancing of outstanding bonds. He has also represented a nonprofit college and other nonprofit organizations in similar financings.
Mr. Ginsburg, working with the firm's healthcare lawyers, represents healthcare clients in transactions such as acquiring and selling hospitals and agreements between hospitals.
Mr. Ginsburg also represents for-profit business clients, both publicly and privately owned, in single bank and multibank commercial lending transactions.
Mr. Ginsburg, working with the firm's bankruptcy and creditors' rights lawyers, represents lenders and borrowers in debt restructuring and workout matters, including debt restructuring and workouts involving outstanding tax-exempt bonds. He has also represented bankruptcy debtors in the sale of distressed businesses or business units, as well as purchasers acquiring distressed businesses or business units from bankruptcy debtors.
Mr. Ginsburg has represented banks acting as indenture trustee in transactions involving public or private offering of notes or similar debt securities.
