Gary A. Wadman

Gary Wadman practices in a wide range of corporate and other business-related areas, representing a diverse group of clients from public companies to family-owned and other privately held businesses. He regularly advises these clients on a broad spectrum of issues, acting as outside general counsel to many of them.

Mr. Wadman devotes a substantial amount of his practice to business planning and reorganizations, acquisitions, and divestitures involving both publicly held and privately held companies. He has led legal teams in numerous purchase and sale transactions, including both single buyer and "auction" purchases and sales.

A significant portion of Mr. Wadman's practice includes representation of clients in the healthcare industry. He represents a leading dental practice management company on matters ranging from acquisitions and contractual relationships with affiliated dental groups to regulatory compliance. He has also advised other practice management companies on business structuring and regulatory matters. In addition, Mr. Wadman represents a successful regional provider of hospital pharmacy management and materials management services and has advised clients involved in other aspects of the healthcare industry.

Mr. Wadman has represented issuers in numerous securities transactions, including private placements and public offerings. He has also advised public company boards and board committees in a variety of special situations, such as exploration of strategic alternatives, responding to solicited and unsolicited purchase offers, and sensitive situations involving executive compensation and executive severance arrangements.

Mr. Wadman has represented from its formation a venture capital fund focused on investments in early stage technology businesses and has represented both issuers and purchasers in venture capital funding transactions. He has also represented entrepreneurs and investors involved in start-up businesses and joint ventures in a variety of industries, including manufacturing, book publication and distribution, and real estate. In addition, he has significant experience with other business matters, including employment contracts, shareholder, partnership, and limited liability company agreements, financings, technology licensing, and confidentiality and noncompetition agreements.

Mr. Wadman is a member of the American, Ohio, and Columbus Bar Associations and has served the Firm in multiple administrative and management capacities, including Coordinator of the Columbus Office Business Group and Co-chair of the Firmwide Transactions Team.
