Jack Bjerke practices in the business area, primarily handling securities and corporate matters for publicly held reporting companies and privately held businesses. He also maintains an active oil and gas practice.
Mr. Bjerke has extensive experience in general corporate and business matters and has been involved in the preparation and filing of registration statements in connection with various sizes and types of securities offerings under the Securities Act of 1933, including private placements, initial public offerings and secondary offerings involving both issuers and shareholders. He counsels companies on all types of corporate activities including corporate governance reporting obligations under the Securities Exchange Act of 1934, which includes periodic reporting, proxy statement and annual meeting requirements, Section 16 matters and press releases.
Mr. Bjerke is also experienced in representing both public and private companies in connection with negotiating and structuring mergers, acquisitions, joint ventures, sale of business and other transactions.
In addition to Mr. Bjerke’s corporate practice, he has more than 40 years of experience working with companies in the oil and gas industry. Mr. Bjerke has represented and currently represents many Ohio producers, as well as others, involved in the oil and gas business. In particular, he represents clients in matters involving their interests in the Ohio Utica Shale Play. Mr. Bjerke assists these clients with a variety of transactional matters, including the negotiation of oil and gas leases, farmout agreements, operating agreements, the sale of deep rights and other assets, the acquisition oil and gas leases, joint venture agreements for the drilling of wells and bank financing.
Mr. Bjerke has a particular focus and experience in the auto racing business, including representing owners, drivers, sanctioning bodies, manufacturers and sponsors in connection with all of their activities, including sanctioning arrangements, driver contracts, sponsorship agreements, employment arrangements and supplier contracts.
Mr. Bjerke is a member of the American, Ohio and Columbus Bar Associations. He has been rated AV by Martindale-Hubbell, the authoritative resource for information on the worldwide legal profession and ethics.
