Janet A. Spreen

Janet Spreen focuses her practice on securities law, corporate finance, mergers and acquisitions and general corporate law matters and business contracts. She has represented both publicly traded and privately held companies in a range of transactions, including initial public offerings, follow-on offerings of debt and equity securities, tender and exchange offers, private placements of debt and equity securities, cash and stock mergers and asset purchases and sales.

Ms. Spreen works extensively with publicly held companies on corporate governance and securities law compliance issues, including board of directors and committee matters, preparation of proxy materials, periodic reporting, public disclosure, NYSE and NASDAQ compliance, executive compensation and transactions in issuer securities by officers and directors. In addition, she has counseled numerous high-tech start-up companies and venture capital firms in private equity financings and ongoing corporate matters. She has also served as on-site legal counsel on a wide range of matters for a publicly held client.

Her experience includes drafting and negotiating significant transaction agreements, SEC disclosure documents, employment agreements with top executives, board and committee materials, and service, supply and distributor agreements and interacting with the Securities and Exchange Commission, NYSE and NASDAQ on behalf of clients.

Ms. Spreen has represented companies in numerous industries, including manufacturing, real estate investment trusts, pharmaceutical distribution, chemicals, insurance, banking, software and other high-tech areas.

Ms. Spreen is a member of the Board of Trustees of the Cleveland Institute of Art and serves on its Audit, Corporate Governance and Enrollment Committees. She has also been a member of the Organizational Assessment Committee of the United Way of Greater Cleveland, is a member of the American, Ohio and Cleveland Metropolitan Bar Associations, and has been speaker at various Cleveland Metropolitan Bar Association seminars, including the Annual Securities Law Institute.
