Jeffrey Berg practices corporate law and corporate finance, with special emphasis on representing issuers and underwriters as counsel in public and private offerings of securities, private equity and venture capital, debt finance and corporate governance. Mr. Berg is experienced with public finance, mergers, acquisitions, international and cross-border finance, leveraged buyouts and related tax and litigation work. He has participated in, supervised and/or been primarily responsible for approximately 150 or more financings involving registration statements filed with the Securities and Exchange Commission, hundreds of mergers, reorganizations, acquisitions and private offerings. He works with clients in a variety of industries, with a special emphasis on technology, energy and healthcare.
With respect to international matters, in addition to the matters discussed above, Mr. Berg has worked with companies to structure and implement Foreign Corrupt Practices Act (FCPA) compliance programs that are designed to avoid potential violation and to lessen any governmental sanctions should an FCPA violation occur. Mr. Berg has experience in conducting investigations of possible FCPA violations and other improper foreign country-based financial transactions.
Mr. Berg is a member of the American (Federal Regulations of Securities, Task Force on Securitization of Assets) and Los Angeles County Bar Associations and he maintains affiliations with both Phi Alpha Delta and Delta Theta Phi fraternities.
