John Allotta’s practice focuses prinicipally on mergers and acquisitions and financing transactions. Mr. Allotta has extensive experience advising private and public companies and private equity firms on structuring and negotiating complex business transactions, including all forms of domestic and international acquisitions, leveraged buyouts and recapitalizations, spinoffs, equity financings and restructurings. Mr. Allotta’s financing experience includes counseling clients in a variety of commercial financing transactions, including secured and unsecured credit facilities, subordinated debt facilities, acquisition facilities and debt restructuring and workout transactions.
Mr. Allotta assists senior management in change-of-control situations, including advice with respect to employment agreements, equity-based compensation plans and severance arrangements. In addition to specific transaction-based work, Mr. Allotta regularly advises clients in connection with a wide range of day-to-day commercial arrangements, such as distribution, supply, contract manufacturing and similar agreements and other business-related issues and corporate governance matters.
