John J. Allotta

John Allotta’s practice focuses principally on mergers and acquisitions and financing transactions. Mr. Allotta has extensive experience advising private and public companies and private equity firms on structuring and negotiating complex business transactions, including all forms of domestic and international acquisitions, leveraged buyouts and recapitalizations, spinoffs, equity financings and restructurings. Mr. Allotta’s financing experience includes counseling clients in a variety of commercial financing transactions, including secured and unsecured credit facilities, subordinated debt facilities, acquisition facilities and debt restructuring and workout transactions.

Mr. Allotta assists senior management in change-of-control situations, including advice with respect to employment agreements, equity-based compensation plans and severance arrangements. In addition to specific transaction-based work, Mr. Allotta regularly advises clients in connection with a wide range of day-to-day commercial arrangements, such as distribution, supply, contract manufacturing and similar agreements and other business-related issues and corporate governance matters.

Mr. Allotta’s representative transactions include:

  • Represented Blue Point Capital Partners in connection with its acquisition of various portfolio companies, including Quality Synthetic Rubber, JTM Foods, Convergent Label Technology, Engineered Materials Solutions and Metal Technology Solutions and subsequent related rollup acquisitions
  • Represented Key Principal Partners in connection with various debt and equity transactions, including its acquisition of MC Assembly and subordinated debt facilities with Hobbico, Inc., Stock Equipment, Advanced Decorative Systems and Empire Beauty Schools
  • Represented Talisman Capital Partners in connection with its acquisition of Terry’s Tire Town
  • Represented Morgenthaler Partners in connection with its acquisition of various portfolio companies, including RotoMetrics, Mark Andy and UAV Corporation and subsequent related rollup acquisitions
  • Represented Lincoln Electric Holdings in connection with its acquisitions of JW Harris, Vernon Tools, Gulf Wire Corporation and Techalloy
  • Represented Eaton Corporation in connection with its acquisitions of Argo-Tech, Pulizzi Engineering and Wright Line
  • Represented CareFusion Corporation in connection with its acquisition of Medegen
  • Represented Fifth Third Processing Solutions in connection with its acquisition of the credit card servicing division of Town North Bank
  • Represented Sarnova, Inc., in connection with various rollup acquisitions, including Blue Ridge Medical, Metropolitan Medical, CardioVascular Concepts and Alliance Medical
  • Represented Aleris International in connection with its acquisition of Tomra Latasa Reciclgem (an aluminum recycling operation in Sao Paulo, Brazil)
  • Represented ersol Solar Energy in connection with its acquisition of Silicon Recycling Services
  • Represented Thermagon in connection with its sale to London-based Laird Technologies
  • Represented Dots, LLC, in connection with its sale to Irving Place Capital Partners
