John M. Gherlein is the firmwide Chair of Baker Hostetler’s Business Group. He has extensive experience representing public and private companies in M&A transactions and counseling public companies regarding their compliance with disclosure and reporting obligations. He also advises public and private companies on debt and equity offerings, including IPOs.
Mr. Gherlein regularly advises boards of directors and their committees on general corporate governance matters, as well as in special circumstances such as change of control settings and accounting inquiries. He has worked closely with the firm’s White Collar Defense and Corporate Investigations Team in FCPA, options dating and other accounting inquiries. He also has a background in antitrust litigation and counseling.
Mr. Gherlein is a member of the Board of Trustees of University School. He is a member of the American, Ohio State and Cleveland Metropolitan Bar Associations, is active in the Securities Law Section of the Cleveland Metropolitan Bar, and has been a frequent speaker at that section’s annual Securities Law Institute.
