Jon Cramer focuses his practice on public and private mergers and acquisitions, representing domestic and foreign buyers and sellers and private equity groups. Jon also represents issuers and underwriters in the public offering and private placement of debt and equity securities; advises public companies on corporate governance issues, periodic filing requirements and the mandates of the Sarbanes-Oxley Act of 2002; and represents financial advisers in connection with their fairness opinions. In the technology sector, Jon represents companies in the semiconductor and software industries both inside and outside the United States, and in the entertainment industry, he recently represented the buyer of a substantial music catalogue. Jon also has experience structuring business development companies, master limited partnerships, joint ventures and collective investment vehicles.
