Judy Gechman focuses her practice on corporate governance and corporate and securities law, including mergers and acquisitions, often in the midstream sector of the oil and gas industry, as well as public and private debt and equity offerings and joint venture agreements. Her public company experience includes work with limited partnerships. She prepares and reviews securities filings and annual meeting documentation; forms entities and structures, negotiates, documents and closes commercial transactions; handles stock and asset sales and acquisitions; negotiates and documents agreements for a variety of transactions, including deals in the oil and gas industry, agreements for joint ventures, limited liability companies, limited partnerships, shareholder, registration rights and distribution arrangements; and performs legal audits of corporate and business operations. She advises boards of directors and board committees on governance matters, fiduciary duty and conflicts issues.
Ms. Gechman regularly advises oil and gas companies and has served as the lead attorney in negotiating and documenting joint venture agreements, the most distinctive of which was a cogeneration joint venture. She negotiated and documented the joint venture agreement; steam water and electric supply agreements and operating and maintenance and other related agreements. She has also negotiated feedstock and other agreements for a fertilizer plant and provided legal advice in the acquisition of an oil refinery in Colorado.
Ms. Gechman counsels clients on various antitrust issues, including joint ventures, distribution agreements, pricing policies, information exchanges, merger analysis and compliance. She handles merger investigations by the Federal Trade Commission and the Antitrust Division of the Department of Justice, conducts antitrust audits and develops compliance programs.
In 2002-2003 Ms. Gechman served as chair of the Houston Bar Association’s Antitrust and Trade Regulation Section.
