Mark R. Mohler

Mark Mohler concentrates his practice on the representation of clean technology companies through all phases of their life cycle—from start–up phase through acquisition and protection of intellectual property, venture capital and private equity financing, project development, project finance and on through public offerings and acquisitions. Mr. Mohler has also represented cleantech investors and formed cleantech venture funds.

Mr. Mohler has acted in a multitude of roles in cleantech companies beyond outside legal counsel—including as a member of boards of directors in both executive and independent roles. He has been chief inside counsel, as well as a member of senior management, to a public cleantech company. Mr. Mohler was a co-founding entrepreneur of a venture and private equity-backed multi-national cleantech company.

Mr. Mohler has extensive experience with industry–specific legal and governmental matters related to renewable energy, natural resources and sustainability-based businesses. He has assisted clients in structuring project financing for large–scale demonstration and commercial facilities in the biofuels, bioenergy and recycling industries—including sophisticated solutions for “valley of death” financing challenges through the use of tax-equity financings, grant awards and U.S. Department of Energy and USDA loan guarantees.

Mr. Mohler has acted as a legal advisor to cleantech companies with respect to project operations and joint ventures in the U.S., Europe, Asia, Central and South America, Africa and Australia. He has represented clients in matters relating to the generation and commercialization of environmental benefits through market mechanisms in compliance markets and voluntary markets—including some of the earliest large-scale transactions for carbon credits under the European Union Emissions Trading System (EU ETS).

  • Represented several U.S. companies in connection with initial public offerings on the London Stock Exchange
  • Represented cleantech companies in joint ventures with international utilities and in developing project operations in multiple foreign jurisdictions 
  • Represented cleantech companies in intellectual property licensing with major research universities
  • Represented a cleantech company in its acquisition by a global private equity firm
  • Negotiated forms of carbon credit purchase agreements (ERPAs) in connection with compliance and voluntary markets in the U.S. and the EU ETS under the Kyoto Protocol
