Matthew Roesch’s practice covers a variety of areas. He primarily works on general corporate law matters, with a focus on corporate reorganizations, mergers and acquisitions, real estate, securities and commercial loan transactions.Mr. Roesch has advised many clients, including FORTUNE 20 companies, on complex real estate transactions involving the transfer and disposition of real property and real property financing. He has provided advice regarding the transfer of real property in connection with complex corporate transactions, including sale-leaseback arrangements. He works with both commercial landlords and tenants in conducting lease negotiations.Mr. Roesch has represented both public and private clients in the sale of debt and equity securities. He recently represented a client in a $31 million public offering of common stock. He also provided federal and state securities law guidance for a client conducting a private offering of securities under Regulation D and similar state law provisions.Mr. Roesch has assisted with securing and refinancing of commercial loans. He recently participated in negotiations which assisted a client in refinancing an $80 million credit facility.
Mr. Roesch regularly advises business clients on the formation of deal structures, conducting and managing issues that arise in due diligence, and drafting and negotiating transaction documents related to corporate acquisitions and dispositions, including private equity transactions. Additionally, he has extensive experience counseling regulated businesses in compliance with state regulatory requirements.
Mr. Roesch also enjoys advising small businesses and assisting with start up companies’ organizational matters.
