Megan M. Frutkin

Megan Frutkin’s practice focuses on a full range of corporate matters for both public and private companies, including mergers, acquisitions and divestitures, joint ventures, securities offerings, corporate governance, general commercial transactions, corporate finance and general business and corporate issues. Ms. Frutkin counsels clients in a variety of industries, including manufacturing, automotive, healthcare, media, natural resources, sales and distribution and the restaurant industry.

Ms. Frutkin’s representative transactions include:

• Representation of manufacturer of loose-leaf chewing tobacco products in its joint manufacturing agreement for the manufacture, packaging and distribution of loose-leaf chewing tobacco at a third-party manufacturing facility
• Representation of FORTUNE 100 health insurance company in its mergers and acquisitions, including acquisitions of managed care companies, commercial health insurers, Medicare Advantage organizations and insurers of supplemental plans and products (vision, dental and behavioral health products)
• Representation of Japanese automobile manufacturing company in negotiating manufacturing services agreements for production of vehicles at a third party manufacturing facility
• Representation of online social media company in securing and negotiating financing arrangements with its senior lender and a provider of mezzanine financing
• Representation of coal company in its reverse triangular merger to effect a public listing on the Toronto Stock Exchange
• Representation of multi-unit franchisee of fast food pizza restaurants in its mergers and acquisitions and lease negotiations
• Representation of Japanese automobile manufacturing company in commercial matters involving master services agreements, supply agreements, manufacturing agreements, distribution agreements and terms and conditions

Ms. Frutkin was selected for inclusion in Ohio Super Lawyers—Rising Stars Edition in the fields of Mergers & Acquisitions (2009) and Business/Corporate (2010 & 2011).
