Robert A. Weible

Robert A. Weible heads Baker Hostetler’s Securities & Corporate Governance Practice Team. He regularly counsels boards of directors, board committees and executives on corporate governance, mergers and acquisitions, securities offerings and compliance and general business matters. He has extensive experience in counseling boards and special board committees in conflict-of-interest transactions and other sensitive situations, including substantial experience in representing both sellers and buyers in going-private transactions.

Rob’s industry experience includes automotive supply and other manufacturing, telecommunications and other media, restaurant chain operations, office supply, insurance brokerage and other retail products and services, oil and gas exploration, production, storage and transportation, commercial real estate and hospitality REITs, gaming, and professional sports and public utilities.

Rob has been named in Chambers & Partners’ 2005 to 2011 editions of the Chambers USA Client’s Guide. Rob’s publications include “‘Fiduciary Out’ Provision Can Benefit Both Parties to a Transaction and Should Be Included in Most Sale Agreements,” which appeared in The Bureau of National Affairs’ Corporate Counsel Weekly (June 15, 2011) and “Acquisitions: Documentation, Approvals, and Litigation Risks,” Chapter 3 of Mergers & Acquisitions in the United States: A Practical Guide for Non-U.S. Buyers,” published by Aspen Publishers (September 2010).

  • Representation of the Audit, Conflicts and Governance Committee of the general partner of Duncan Energy Partners L.P. in the $3.3 billion merger of Duncan Energy Partners L.P. into Enterprise Products Partners L.P. (closing pending).
  • Representation of the Strategic Review Committee of Retail Ventures, Inc. in a strategic review and the $780 million merger of Retail Ventures, Inc. into DSW Inc.
  • Representation of the Audit, Conflicts and Governance Committee of the general partner of Enterprise GP Holdings L.P. in the $9.1 billion merger of Enterprise GP Holdings L.P. into Enterprise Products Partners L.P.
  • Representation of the Audit, Conflicts and Governance Committee of the general partner of Duncan Energy Partners L.P. in a $1.6 billion pipeline development joint venture.
  • Representation of Denbury Resources Inc. in the acquisition of Encore Acquisition Company in a $4.5 billion merger transaction.
  • Representation of the Special Committee of the Wendy’s International, Inc. board of directors in a strategic review and $2.3 billion merger of Wendy’s and Triarc Companies, Inc. (Arby’s).
  • Representation of the Special Committee of the Berkshire Realty Company, Inc. board of directors in an auction process and $1.1 billion going-private transaction.
  • Representation of controlling shareholders in simultaneous going-private acquisitions of Black Hawk Gaming & Development Company and Colonial Holdings, Inc.
  • Representation of Developers Diversified Realty Corporation in going-private acquisition of American Industrial Properties REIT.
