Rob Morwood’s practice focuses primarily on advising public and private companies in M&A transactions, joint ventures, strategic investments, restructuring and finance transactions. He also advises companies on securities law compliance, corporate governance, strategic planning and general transactional and corporate matters.
Mr. Morwood has experience assisting corporate management and public and private companies in all aspects of mergers, acquisitions, divestitures and joint venture transactions. Mr. Morwood’s financing work includes assisting underwriters of debt securities and both lenders and borrowers in commercial financing and debt restructuring transactions.
Mr. Morwood’s experience in public and private equity and debt securities offerings includes preparing registration statements and prospectuses for public equity offerings, preparing private placement documents, filing and coordinating with the Securities and Exchange Commission and the various state securities divisions in connection with such offerings, and advising clients on such matters. His corporate governance practice includes assisting clients with the preparation of board and committee resolutions, executive summaries and other board presentation materials.
Clients served by Mr. Morwood have businesses focused on distributing lifestyle-oriented content for television and the Internet, publishing newspapers, operating broadcast TV stations, distributing natural gas, propane and electricity, acquiring, exploring and developing natural resource properties and manufacturing and distributing finished products.
