Stephen T. Olson

Stephen Olson joined Baker Hostetler in August 2006. Mr. Olson’s practice encompasses all aspects of corporate and securities law, with a concentration in mergers and acquisitions, public and private securities offerings, venture capital transactions, the structuring and organizing of corporations, limited liability companies and limited partnerships, SEC reporting and compliance matters and corporate governance issues for public, private and not-for-profit entities.

  • Lead counsel representing a joint venture consisting of two multinational energy companies in the preparation and negotiation of definitive agreements with a consortium of five multinational petroleum companies related to an aggregate $12 billion deepwater exploration and pipeline project.
  • Lead counsel representing a Dutch B.V. specializing in design and technology services for multidisciplinary capital projects in the sale of certain assets to an international engineering firm.
  • Lead counsel representing a German AG focused on the design, construction and operation of biogas plants across the globe.
  • Senior associate representing Denbury Resources Inc. in its $4.5 billion acquisition of Encore Acquisition Company.
  • Senior associate representing a NASDAQ Global Select-listed limited liability company in its $600 million asset disposition.
  • Senior associate representing the management of Matrix Financial Solutions, Inc.—a portfolio company of Bluff Point Capital—in the $200 million sale of Matrix to publicly traded Broadridge Financial Solutions.
  • Senior associate representing Quanta Services in its $350 million acquisition of Price Gregory Services Incorporated.
  • Senior associate on multiple acquisitions and capital investments for Schlumberger, most recently in connection with the acquisition of an international supplier of crosswell imaging technology and reservoir life cycle management services.
  • Senior associate representing a SIX Swiss Exchange-listed global provider of integrated supply chain and logistics solutions in its acquisition of an equipment transportation corporation.
  • Senior associate representing a NYSE-listed exploration and production company in its $430 million acquisition of producing oil and gas properties in Texas.
  • Senior associate on multiple acquisitions for a NYSE-listed company providing specialized contracting services and solutions in North America for the electric power, telecommunications, broadband cable and gas pipeline industries, most recently in connection with the acquisition of a privately held corporation providing design, development and construction services to the utility industry.
  • Represented a privately held exploration and production company with producing properties in Texas and Louisiana in its $320 million stock sale to a publicly traded corporation.

  • Senior associate representing a NYSE-listed company in its $1 billion senior notes offering and subsequent cash tender offers to purchase three series of outstanding senior notes.
  • Senior associate representing Denbury Resources Inc. in its $420 million senior notes offering.
  • Senior associate representing Linn Energy in connection with a $103 million follow-on public offering of units and simultaneous $250 million Rule 144A offering of senior notes.
  • Senior associate representing a NYSE-listed energy company in connection with a $109 million follow-on public offering of common stock.
  • Senior associate representing Swift Energy Company in its $250 million senior notes offering.
  • Senior associate representing a NASDAQ Global Select-listed company in its $188 million registered public equity offering.
  • Senior associate representing Quanta Services in the redemption of its convertible subordinated notes.
  • Senior associate representing the largest oil and natural gas operator in Mississippi in connection with the two-for-one split of its common stock.
  • Senior associate representing numerous public companies in the preparation of shelf registration statements, proxy statements, 10-Ks, 10-Qs and filings under Section 16 of the Exchange Act.

Additionally, Mr. Olson has served as lead counsel for a NYSE-listed healthcare company in the negotiation of over 30 commercial real estate leases across the United States and recently served as lead counsel for another NYSE-listed client in the negotiation of the lease agreement for the relocation of their corporate headquarters. He was invited to speak on the topic of commercial real estate leasing at the 2010 Corporate Counsel Institute sponsored by the Corporate Counsel Section of the State Bar of Texas.

While in law school, Mr. Olson was elected Outreach Chair for The University of Texas School of Law Student Recruitment and Orientation Committee. He also served as Programming Coordinator for the Gus Hodges Society, playing an integral role in implementing the Society program throughout the law school.

Prior to joining the firm, Mr. Olson worked in the Pentagon for the Department of Defense and the Office of the United States Navy Judge Advocate General. He handled a number of intelligence and national security issues and was responsible for personally briefing high-ranking Pentagon officials.
