Thomas M. Wearsch

Tom Wearsch has significant experience in a broad range of matters, including general corporate, bankruptcy, debt finance, mergers and acquisitions, commercial law and bankruptcy litigation. His practice focuses on advising both distressed and healthy corporations, financial institutions, equity funds, hedgefunds, bondholders and investors in all types of transactions and restructurings related to troubled company situations.

Mr. Wearsch has been corporate and transactional counsel to numerous corporations involved in Chapter 11 reorganizations, out-of-court restructurings and mergers and acquisitions. He practices with a particular emphasis on sale transactions of distressed companies both inside and outside Chapter 11 proceedings.

Mr. Wearsch was honored in the 2010 and 2011 editions of Chambers USA: America’s Leading Lawyers for Business.

Prior to joining Baker Hostetler, Mr. Wearsch was an associate in the Corporate Restructuring and Mergers and Acquisitions Departments at the New York office of Skadden, Arps, Slate, Meagher & Flom LLP.

  • Representation of large, public airline in the successful out-of-court restructuring of its debt obligations and receipt of funds under the Airline Stabilization Act.
  • Representation of large, public Internet services provider in its successful prepacked Chapter 11 bankruptcy proceeding and exchange offering.
  • Representation of bank syndicate in the successful prearranged Chapter 11 proceeding of large telecommunications company.
  • Representation of local telecommunications company in its purchase of Midwest telecommunications assets from a distressed telecommunications corporation.
  • Representation of equity fund portfolio company (ambulance and bus manufacturer) in its sale transaction as part of its Chapter 11 proceeding.
