Thomas Gallagher’s practice is focused on the representation of hedge funds, private equity firms, broker dealers, investment advisers, financial institutions and investor groups in corporate, securities and regulatory matters.
Mr. Gallagher routinely assists clients in the structuring and formation of domestic and off-shore funds. His clients range from funds engaged in equity and debt securities investments in listed securities to funds involved in commodities and alternative investments, such as commercial lending, real estate, distressed debt, life settlements and premium finance, IP rights and royalty streams. Recent fund formation work includes U.S. distressed-debt funds, Guernsey-based commodity fund with a U.S. feeder, BVI and Cayman master feeder funds and regulated and unrelated Irish funds.
Mr. Gallagher also counsels hedge funds and other financial services clients on refinement of their regulatory compliance infrastructure and internal controls.
Mr. Gallagher has extensive experience in representing financial services companies, private equity firms and investors in acquisitions of public and privately held companies, asset purchases, recapitalization transactions and non-controlling equity and convertible debt investments, touching nearly every business sector, including banking, insurance, real estate, energy, technology and manufacturing.
Mr. Gallagher’s representation of startups and early stage companies is enhanced by his own experience as a successful entrepreneur and seed capital investor.
Mr. Gallagher is a frequent speaker and writer on topics affecting domestic and off-shore hedge funds and the alternative investment industry.
