David Schick’s practice is focused on representing physicians in healthcare law and in business and corporate (profit and not-for-profit) law. He represents numerous medical groups, including hospital-based physician groups (e.g., anesthesiology, radiology and hospitalist groups).
David has been representing physicians in all aspects of their professional endeavors for more than 33 years, including in connection with their relationships with hospitals. He handles issues involving medical staff bylaws, and exclusive (and other) service agreements between physician groups and hospitals, including physician employment agreements.
David also represents many physician groups in connection with acquisitions, exclusively representing the physician side of the equation. David does not represent the hospital or the private equity purchaser of the physician practice. Consequently, David’s focus is on protecting the physicians’ best interest in these transactions.
David’s healthcare experience also entails setting up ambulatory surgical centers, imaging centers and joint ventures to own sophisticated equipment, such as PET scanners, MRIs and CTs, as well as developing corporate compliance plans. David also has a deep knowledge of the complexities of Medicare fraud and abuse, false claims and reimbursement issues, Stark requirements and the Health Insurance Portability and Accountability Act (HIPAA).
David’s healthcare, corporate and tax background also allows him to represent physicians, as well as virtually any other business, in connection with entity formation and dissolution, and the preparation of sophisticated business agreements. These agreements include, but are not limited to, operating, partnership, buy-sell, purchase and sale, joint venture, management, employment and independent contractor agreements, as well as letters of intent, opinion letters and advice memoranda.
David’s practice also involves designing ERISA-qualified retirement plans, tax planning, IRS and Florida tax controversies, tax litigation and estate planning. He represents numerous individuals, small and large corporations, family-owned businesses and professional associations, in addition to his focus of representing physicians.
David has a master’s degree in tax law, and his wide scope of experience as a corporate, tax, ERISA and healthcare lawyer makes him unique in the state of Florida and the country. He has used this background to accomplish the above, and also to develop sophisticated techniques designed to help physicians, business owners, and their corporate entities protect their assets (particularly accounts receivable, equipment, and real estate) from the claims of creditors.
