  • Counsel to a private equity company in structuring and negotiating a warehouse credit facility with equity conversion rights to a company with a growing business platform. Assisted client in structuring the collateralization of debt as well as incorporating equity conversion rights to provide for the upside potential for the growth platform.
  • Assisted in entity consolidation and restructuring to facilitate estate transition planning after the passing of a client. Assisted family and third parties to consolidate 30 companies into a manageable structure for partial liquidation and ongoing operations. Negotiated and drafted transaction documents for consolidation.
  • Worked to protect shareholder rights in connection with the winding down of business operations, including creditor negotiations. Coordinated information flow with the receiver, the creditors and other stakeholders of the company. Negotiated settlement agreement with receiver and creditors to avoid litigation.

  • Aided in an entity startup, from formation to acquisition of equipment and development of its operating structure. Negotiated and drafted vendor agreements and customer contracts. Negotiated loan agreements for growth and working capital.
