Overview

Erica Youngstrom represents energy industry clients in a broad range of matters to help them achieve their business goals. She works with oil and gas producers, midstream companies, utilities, and other clients in the energy sector to structure their business arrangements and address regulatory considerations in both the transactional and litigation contexts. She provides knowledgeable counsel on project development strategy and transactional matters, including negotiation of commercial agreements in connection with project development, mergers and acquisitions, and joint ventures. She also represents energy companies in litigation before the Federal Energy Regulatory Commission (FERC) and federal courts.

Drawing from her time working in the Houston and Washington, D.C. offices of two international law firms, Erica advises clients in the United States and abroad to ensure efficient and cost-effective representation.

  • Advised a multinational oil and gas company in its purchase of the outstanding shares of a multinational corporation’s U.S. LNG business, as well as its assumption of all LNG-related agreements from a related energy systems and solutions corporation.
Project Development
  • Advised a major oil and gas production and midstream company on development of a hub for transportation, fractionation, and sale of NGLs. Negotiated and drafted necessary agreements, including an agreement for the purchase of NGLs to support construction and operation of project facilities. Presented project plans to FERC.
Regulatory Proceedings
  • Represented a large marketer of crude oil in Texas in a complaint proceeding before FERC regarding a crude oil pipeline’s implementation of its tariff.

Transactions
  • Advised a multinational oil and gas company in its purchase of the outstanding shares of a multinational corporation’s U.S. LNG business, as well as its assumption of all LNG-related agreements from a related energy systems and solutions corporation.
  • Represented a crude oil marketer in negotiating a transportation services agreement to underpin an open season and expansion project to be constructed by a major midstream company.
  • Advised Mexican-based LNG marketer and distributor in its acquisition by an LNG provider and distributor, leading to the formation of a joint venture between multiple LNG and energy providers to develop the LNG market in Mexico.
  • Represented a subsidiary of a multinational energy corporation in disposition of its crude oil refining, distribution, and other downstream assets within a defined geographic area to a subsidiary of a private equity fund.
  • Represented a crude oil marketer in negotiating a transportation services agreement for a new crude oil pipeline to be built in Texas.
  • Represented one of Japan’s largest oil refiners in connection with acquisition by, and business integration with, Japan’s largest oil refiner.
  • Represented a major U.S. electric and gas utility in divestiture of a 33% minority interest in its solar portfolio.

  • Advised the owner of an LNG terminal on development and modification of its facility, including questions concerning importation of LNG to the U.S.
  • Advised a natural gas midstream company on negotiation and drafting of an agreement securing customer commitments necessary to proceed with development of a new pipeline extending from its existing system to serve LNG export terminals.
  • Counseled a crude oil pipeline developer on commercial and regulatory questions in connection with development of a new interstate pipeline, including the open season process and the process for securing government approvals of financial arrangements.

  • Represented a large marketer of crude oil in Texas in a complaint proceeding before FERC regarding a crude oil pipeline’s implementation of its tariff.
  • Represented an electric generator in a complaint proceeding where the independent market monitor of an American regional transmission organization (RTO) filed a complaint against the RTO regarding the RTO’s determination not to assess a penalty to a market seller.
  • Represented an electric generator in a complaint proceeding before FERC regarding an interstate natural gas pipeline’s implementation of surcharges.
  • Represented a large natural gas producer in the Marcellus and Utica shale plays in protesting a fuel filing by a major interstate natural gas pipeline.
  • Represented an oil and gas producer in a market-based rate proceeding initiated at FERC by an NGL pipeline.
  • Represented major gas and electric utility companies in protesting a tariff filing made at FERC by an interstate natural gas pipeline to modify the priority of its services and its methods of imbalance resolution.
  • Represented a large crude oil marketer in Texas in protesting a petition for declaratory order filed by a crude oil pipeline at FERC.
