Jessica Malchow is a Florida Bar Certified Real Estate Attorney and the real estate team leader for the Orlando office. She assists clients in complex, multifaceted real estate activities and financing transactions. Jessica thinks creatively and works closely with clients and their consultants to accomplish the clients' ultimate goals.

  • Served as lead attorney assisting a major private hospitality company with the acquisition of more than 27 hotel sites and entry into various multisite loan transactions in connection with such acquisitions. Assisted in carefully crafting purchase agreements for the circumstances unique to each site, evaluating diligence information for hotel operations, reviewing title and survey matters, and preparing noncompetition and nonsolicitation agreements in connection with transfers of properties and franchises/brands. Assisted in less traditional methods of property acquisition through deeds in lieu of foreclosure and acquisition of existing debt encumbrances against properties and subsequent foreclosure of those properties.
  • Served as one of the lead attorneys responsible for negotiation and drafting of a complex purchase and sale agreement and ancillary documents, as well as extensive due diligence activities, in the acquisition of a premier hotel in Orlando for more than $700 million. Worked closely with the client to address operational, transitional, employment, intellectual property, construction and other issues that arose during transaction.
  • Represents a family estate that owns a significant piece of property in an area of high growth in southern Orlando. Aids the family in preparation of agreements with project consultants; works with consultants to obtain and maintain permits and development approvals that increase the value of the property; assists in sales of portions of the property to multiple homebuilders; identifies which sales have entailed drafting of reciprocal easement agreements, restrictive covenants or modifications to permits and approvals; and advises on other sophisticated property planning and governance matters.

Experience

  • Conducted extensive due diligence and spearheaded the acquisition of a significant and high-profile entertainment complex in downtown Orlando. This included a detailed review of recorded title instruments, multiple joint access issues, review of the effects of a railroad overpass and related agreements, and clearance of title matters. The property was also being acquired from a bankrupt entity, complicating the matter with issues relating to vacating tenants and entry into leases with new tenants. A portion of the property was also being acquired as a long-term lease estate, so further negotiations with the landlord were necessary. Assisted in negotiating financing documentation for the acquisition and addressing lender's title concerns and documentation requirements, and facilitated the final closing.
  • Concluded a deed in lieu transaction on behalf of a private lender for a lending institution for a vacant beach-front property in which borrower, a residential developer, made a lump sum payment toward outstanding principal, at which point the loan terms were modified and the remaining debt was secured by multiple new guaranties and additional subordinated mortgages against a variety of other properties in multiple states.
  • Consolidated multiple loans into one on behalf of an institutional lender (capturing all outstanding equity in the collateral and negotiating release prices to accommodate the sales of certain sites). Then negotiated a forbearance agreement and consent judgment stipulation, followed by a foreclosure action and sale of the foreclosure judgments and other loan documents to a buyer prior to the foreclosure sale, with the result that the party purchasing the judgments and loans could credit bid at the foreclosure sale and acquire title to the property.
  • Served as one of the lead attorneys for the closing of a construction loan in excess of $101,000,000 for the development of a student housing project that will also include retail space and a parking facility, and a simultaneous construction loan in excess of $13,000,000 for the development of a branded hotel on the adjacent parcel. The project was already under construction prior to the loans closing, necessitating the resolution of multiple contractor lien related issues.

  • Assists with negotiation of agreements in connection with Habitat for Humanity (HFH) Greater Orlando's participation in various government programs and initiatives for affordable housing, with acquisition of property for development or redevelopment of affordable housing, with negotiations of leases for service center and resale store space, and other real estate legal needs of HFH Greater Orlando.
  • Assists extended family members, through the Orange County Legal Aid Society, in obtaining temporary custody of minor children in their families when parents are either unwilling or unable to care for the children, typically due to death, incarceration, substance abuse or mental instability.
  • Assisted the council of Girl Scouts of Citrus in acquiring a piece of donated property, and in refinancing of a mortgage loan for which its central office facility was collateral.
