  • Handled the real estate due diligence related to a client’s purchase of a manufacturing company located in Norwich, Connecticut. Responsibilities included handling of title and survey issues as well as possible transfer tax implications.
  • Represented a purchaser in a $6.8 million purchase and loan assumption of a multitenant commercial shopping center. The deal involved purchaser-side tax issues on both the state and federal levels. Created a single-purpose entity and dealt with numerous closing issues, including those related to the condition of the property. After closing, represented the new owners in matters of tenant relations, including lease renegotiations.
  • Represented the property owner in refinancing a $11.8 million loan secured by a multitenant residential property. Obtained the necessary assurances from local government with respect to green energy tax credits and tax abatements in order to satisfy the lender. Handled all matters related to title and escrow issues at closing.
  • Represented a seller in a $17.2 million disposition of a multifamily residential property. Drafted a letter of intent and negotiated a purchase agreement. Assisted with matters related to the purchaser’s assumption of the loan.
  • Represented a local car care company in the rezoning of a parcel to allow for the completion of construction of a car wash facility.
  • Represented a purchaser of 17 mobile home parks across the state of Ohio. Specifically, handled the transfer of drinking and wastewater well permits to new operating companies and ensured compliance with all Ohio EPA permit and notification requirements prior to closing.
  • Represented a seller in a $2.8 million disposition of a multitenant residential property. Negotiated provisions related to local point-of-sale inspection requirements.
  • Represented the owner of an industrial park in an eviction action against a tenant for a breach of lease agreement and a $250,000 claim for damages related to a custom buildout of leased space.
  • Represented a lessee in the negotiation of provisions of and execution of a multiyear industrial lease agreement for a 25,000-square-foot facility for use as an ambulance service and storage facility.
  • Represented an estate in the disposition of real property in default by way of deed in lieu of a foreclosure agreement with the lender.
  • Represented the seller in a disposition of commercial property leased to the United States government. Also assisted in the seller's Section 1031 like-kind exchange purchase of historically preserved property in Charleston, South Carolina.
  • Represented a real estate owner in federal court in a contract dispute with the United States Post Office regarding an unconscionable option to purchase.
  • Represented a landowner in the negotiation and drafting of a residential construction contract.
  • Represented a buyer in the purchase of mixed-use industrial and commercial property. Handled the drafting and review of the purchase agreement, all title review matters, and closing the transaction.
