Christoph Lange, Elizabeth McCurrach Examine Brexit Effect on MAC Litigation

Partner Christoph Lange and Associate Elizabeth McCurrach authored an article published in the Oct.-Dec. 2016 issue of Corporate Disputes. The article, “Does Brexit Change Anything in Material Adverse Litigation?,” examines the possibility that, since the United Kingdom vote to leave the European Union, companies may look to the material adverse change (MAC)  clause to back out of transactions begun before the vote. Lange and McCurrach examine recent decisions and conclude: “Although many differences exist between American and English law, both systems are hesitant to relieve a buyer of obligations under a MAC clause.”
