As a result of legislation passed in 2018, the Committee on Foreign Investment in the United States (CFIUS) now has expanded jurisdiction to review transactions that convey certain rights in U.S. businesses to foreign persons, irrespective of whether control of the business is transferred.  In certain cases, filing with CFIUS is now mandatory, subject to certain exceptions, including for investors from Australia, Canada and the UK who meet certain criteria.

In this webinar, Barbara Linney, partner and co-leader of our International Trade and National Security team, and Kevin Edgar, former Chief Counsel of the House Financial Services Committee and a member of our Federal Policy team, will explain the new rules and answer your questions regarding how to determine if your transaction is subject to CFIUS jurisdiction, as well as the factors to consider when deciding whether CFIUS review is required or advisable.

This webinar will concentrate on application of the new rules to foreign investors who acquire control of or other rights in U.S. businesses.
