Amy Traub Comments on M&A Trend that Requires Disclosure of Sexual Misconduct Allegations

Partner Amy Traub is quoted in an article published by Agenda Week on Oct. 29, 2018. The article, “#MeToo Creeps into M&A Transactions,” reports that companies considering deals are looking for representations involving sexual misconduct allegations before a transaction is completed. Traub told the publication that these so-called “Weinstein Clauses” generally require a target company to make the representation about allegations of harassment within the last three to five years and that, in her experience, the clauses tend to focus on current executives, not former executives.
