Jonathan Lewis Talks about FTC Scrutiny of Small Healthcare Mergers

Partner Jonathan Lewis is quoted in an article published in the March 2016 issue of Medical Practice Compliance Alert. The article, “FTC Action Shows Small Practices Won’t Escape Scrutiny,” discusses a flurry of antitrust enforcement actions taken against healthcare groups by the Federal Trade Commission (FTC) that target smaller mergers that may not trigger mandatory reporting.

Lewis lists four steps to protect practices in these situations:

  • Assess the risks and benefits of a proposed deal from an antitrust standpoint.
  • Make sure you’re merging or engaging in other collective activity for the right reasons.
  • Keep an eye on who might oppose your actions and try to obtain their buy-in.
  • Be careful how you document your activities.
