Steven Goldberg Quoted in New Book About Best M&A Dealmakers

Partner Steven Goldberg, co-leader of the M&A team, is extensively quoted in M&A at Center Stage: Dealmaking in a New Economy, Best Practices of the Best Dealmakers, 3rd Edition, published by Merrill Corporation and The M&A Advisor. In Chapter 3, “Getting to Yes: From LOI to Closing,” Goldberg talks about the breadth of auction processes and the increased use of virtual data rooms (VDRs) by targets and their bankers, explaining, “The VDRs make an auction process arguably more efficient because global buyers can be tapped without the need for them to expend significant resource in travel cost." . He also discusses the importance of the purchase agreement stating that “Most Delaware courts are now [increasingly] realizing that words have meaning and are more loathe to go outside the four corners of the agreement if interpretation inside the agreement is possible.” The book quotes leading dealmaker attorneys from Sullivan & Cromwell, Skadden Arps, Latham & Watkins and Jones Day, among others.
