Corporate Securities Transactional attorney Jason Zachary Joins Business Group

Denver, March 14, 2017 ‒ BakerHostetler is pleased to announce that Jason K. Zachary has joined the firm as counsel. He will be resident in the Denver and New York offices, and help serve the Chicago office. Previously, Zachary was a Partner at Kirkland & Ellis LLP in New York City.

Zachary has more than 15 years of experience representing corporate clients and private equity sponsors and their portfolio companies in an array of complex business transactions, including public and private offerings of equity, high-yield and investment grade securities, leveraged buyouts, strategic mergers, acquisitions, investments and joint ventures, reorganizations, growth equity and venture capital investments, and divestitures. He has extensive experience advising on IPOs, the “dual-track” IPO/M&A process, acquisition-related financings and liability management transactions, including tender and exchange offers, consent solicitations and other significant corporate transactions.

Throughout his career he has advised and counseled numerous boards of directors and senior management of public and private companies, financial institutions, and private equity investment funds across a variety of industries on the disclosure requirements under federal securities laws, fiduciary duties, risk oversight, board and committee structure, director independence, shareholder engagement, executive compensation, proxy contests, and stock exchange listing standards.

Zachary graduated with honors in 1999 from Chicago-Kent College of Law and received his Master of Laws (LL.M.) degree in securities and financial regulation with distinction from Georgetown University Law Center in 2002. He received his bachelor’s degree in finance from Texas A&M University in 1995.
