Firm and The E.W. Scripps Company Honored for Simultaneous Acquisitions of Katz Broadcasting and Bounce Media

Press Releases / November 20, 2017

CLEVELAND and NEW YORK, Nov. 17, 2017 — For the fifth time in seven years, The M&A Advisor has recognized the long-standing relationship between BakerHostetler and client The E.W. Scripps Company (Scripps) and awarded them one of its highest honors - Deal of the Year (in categories of Consumer Discretionary Over $100 million and M&A $200 million to $500 million) for the simultaneous acquisitions of Katz Broadcasting Network and Bounce Media by Scripps. This is the second time the firm and Scripps have received top honors in multiple categories. Scripps’ acquisition of Katz Broadcasting includes four national networks (Bounce, Grit, Escape and Laff) and positions Scripps, already one of the nation’s largest independent TV station owners, to remain a leader in the evolving TV landscape.

BakerHostetler and Scripps received the awards during the 16th annual Awards Gala Ceremony in conjunction with The M&A Advisor Summit on November 15 at The Metropolitan Club in New York City.

The BakerHostetler team that served as lead legal counsel for Scripps was led by Partner Steven H. Goldberg, co-leader of the firm’s national Mergers and Acquisitions team. Other team members included Partners Dave Holcombe, John Lehrer, Ray Malone, and Robert F. Morwood; and Of Counsel Judy Gechman.

BakerHostetler and The E.W. Scripps Company also won Deal of the Year in 2015 (in the $500 million to $1 billion category) for the creation of two separate public companies with Journal Media Group. In 2014, BakerHostetler and Scripps were honored (in the over $100 million to $250 million category) for the purchase of television station assets from Granite Broadcasting and Sector Deal of the Year (from $100 million to $250 million) in the Technology, Media, and Telecom category in 2012 for the purchase of McGraw-Hill Broadcasting Group. In 2010, the BakerHostetler legal team and The E.W. Scripps Company received the “Middle-Market Deal of the Year” Award (from $100 million to $250 million) for the sale of Character Licensing, a wholly owned subsidiary of Scripps.

“We are so pleased to receive this honor, which is a recognition of not only of this phenomenal team but also of the endurance and strength of our century-long relationship with The E.W. Scripps Company,” said Goldberg.

BakerHostetler’s award-winning Mergers and Acquisitions team is a leading advisor for media companies focused on both content and distribution in the media industry. With nearly 100 corporate team members in 14 offices from California to New York, attorneys provide counsel from stock and asset acquisitions and divestitures to international joint ventures and licensing arrangements. This group and its attorneys have been continuously recognized by Chambers USA and Legal 500 as top practitioners.

The M&A Advisor Awards and Summit is the original and premier event that brings together the leading M&A dealmakers, deal team members, and key service providers in an exclusive gathering. More than 280 nominees, representing over 650 companies, were finalists for this year’s awards. An independent judging committee of 29 top M&A industry experts determined the winners.
