Brian A. Bulson

Brian Bulson assists clients in a variety of business transactions, including the acquisition and disposition of business entities by means of mergers, asset transactions and equity purchase arrangements, as well as commercial financing transactions. He has experience representing public and privately owned companies, senior and subordinate lenders and private equity funds in a variety of industries. Mr. Bulson regularly advises clients in connection with commercial arrangements such as supply, distribution, contract manufacturing and similar agreements.

Mr. Bulson also has significant experience assisting clients in various intellectual property matters, including the negotiation of agreements relating to licensing, development, transfer and sharing of software and all other forms of intellectual property. He regularly conducts intellectual property due diligence and negotiates intellectual property deal terms in a range of deal structures.

Recent transactions include:

• Representation of a national waste disposal and recycling company on an ongoing basis in connection with acquisitions and divestitures in multiple states.
• Representation of a non-profit professional medical association in the acquisition of a physician practice group and management services organization and immediate divestiture of the services organization, a transaction involving in excess of 420 physicians and other healthcare providers.
• Representation of borrowers and lenders, senior and mezzanine, in securing equity and debt interests with respect to companies operating in a variety of industries, including toy manufacturers, tire manufacturers, energy providers and circuit board manufacturers.
• Representation of the Special Committee of the Board of Directors of Wendy’s International in connection with its merger with Triarc Companies (franchisor of Arby’s restaurants).

Mr. Bulson serves on the Advisory Board of the Downtown Cleveland YMCA and is a member of the American, Ohio and Cleveland Metropolitan Bar Associations. During law school, Mr. Bulson was the Technology Editor for The Ohio State Law Journal.
