Gary Alletag is the Business Group Coordinator for the firm’s Houston office. He has represented both individuals and businesses in a wide variety of commercial transactions. His main focus has been in the areas of Real Estate, Energy and Financial Institutions. Below are the highlights of his practice. Real Estate Gary Alletag is Board Certified in Commercial Real Estate Law by the Texas Board of Legal Specialization (1983) and has been selected as a “Texas Super Lawyer” by his peers in the area of real estate law. He has represented purchasers and sellers of office buildings, hotels, hospitals, apartments, shopping centers, industrial warehouses and office and residential condominiums. He has advised developers in the acquisition, development and marketing of commercial and residential properties, including shopping centers, industrial parks and residential subdivisions. Mr. Alletag has negotiated on behalf of lessors’ and lessees’ ground leases, office leases, shopping center and mall leases, and warehouse leases. He has also represented homeowners’ associations in establishment and enforcement of restrictive covenants. Energy and Chemical Industries Mr. Alletag worked in the energy business prior to entering law school. He acts as outside counsel for a number of independent oil and gas companies. Such representation has included acquisition and disposition of developed producing properties and negotiation of development, working capital and equity financing. He has experience addressing onshore and offshore lease issues, pooling and unitization issues, and dealing with governmental compliance matters. Mr. Alletag also has experience in negotiating purchase and sale agreements, operating agreements, participation agreements, marketing contracts, gas purchase contracts, easements and surface use agreements. Mr. Alletag also has clients in the oil and gas services industry, representing both large and small service companies providing a broad range of services to upstream exploration companies. Such representation includes handling master service agreements, seismic contracts, governmental contracts and assisting in the acquisition of and merger with other companies in the energy services sector. He has also represented both the chemical and electric utility industries including national and international clients in the purchase of resins plants and hydro fluorocarbon plants. He has also assisted a national electric utility in the construction of a co-generation plant in South Texas. Mr. Alletag's experience includes representation of pipeline companies; he supervised the acquisition of pipeline right-of-way for the construction of a common carrier liquid pipeline from New Mexico to East Texas, including addressing easement and condemnation issues. Financial Institutions Mr. Alletag’s practice has included representation of all types of financial institutions, including national and state banks, savings and loan associations and federal savings banks. He has represented financial institutions with respect to all types of lending and, in addition, has a vast amount of experience in workouts and foreclosure of distressed properties. Mr. Alletag also has experience in representing national and state trust companies. His practice has included representation of trust companies before the Office of the Comptroller of the Currency and state banking departments, supervision of litigation involving trust companies, acquisition and disposition of fiduciary accounts and legal representation of trusts under management of trust company clients. General Business Practice Mr. Alletag maintains a general business practice. He has acted as outside counsel for a variety of companies, including foreign steel manufacturers, plastic companies, trucking companies, automobile dealerships, corporate lodging companies, advertising agencies and reprographic companies. With such representation, Mr. Alletag has handled mergers and acquisitions, franchise and license agreements, general contract matters, equipment leasing, and employment issues. He has experience in formation of corporations, partnerships, limited partnerships, limited liability companies and registered limited liability partnerships.
Mr. Alletag is a member of Oil, Gas and Mineral Law, and Real Estate, Probate and Trust Law Sections of the State Bar of Texas and the Houston Bar Association. He has been rated AV by Martindale-Hubbell, the leading resource for information on the worldwide legal profession.
