Hewitt B. Shaw

Hewitt B. Shaw is the Managing Partner of the firm’s Cleveland office—its oldest and largest office. Mr. Shaw is also a member of the firm’s Policy Committee and formerly served as the firmwide Legal Services Partner and Chair of the Tax, Personal Planning and Employee Benefits Group.

His primary area of practice is federal income taxation of individuals, partnerships, and “regular” and “S” corporations, as well as the related areas of business planning and structuring of the business relationships, acquisitions and dispositions and financing arrangements for these entities.

Mr. Shaw’s experience in federal income tax matters has been concentrated in the formation, financing, acquisition, disposition and liquidation of closely held and publicly held corporations, and federal income tax planning for partners, shareholders and proprietors of closely held and family-owned businesses and executive employees of large corporations.

In addition to his tax-planning advice in these areas, he has extensive experience in the negotiation and documentation of these transactions. Mr. Shaw’s work in these areas has included counseling clients in all aspects of structuring, negotiating, documenting and completing taxable and tax-free mergers and acquisitions involving publicly and privately held firms. He also has extensive experience in the formation of joint ventures and other strategic alliances with partners, including international joint ventures with foreign partners. In counseling in these matters, Mr. Shaw often combines his financial and accounting backgrounds to help clients develop analytical models of the tax and financial ramifications of these arrangements and transactions.

Mr. Shaw is a member of the ABA Tax Section Committee on S Corporations and has been  a regular contributor to the Journal of S Corporation Taxation. He has been a regular speaker at the Cleveland Tax Institute on a variety of corporate, partnerships and mergers and acquisitions taxation topics and has spoken to other bar and professional organizations, including the American Bar Association and ALI-ABA, on a variety of tax and business planning topics.

Mr. Shaw also has extensive experience in interstate taxation issues, including related constitutional issues.

Mr. Shaw has responsibility for coordinating the ongoing legal services provided to several of the firm’s clients, ranging from FORTUNE 100-size companies to closely held and family-owned business firms.
