Matt Oliver assists clients in a wide array of business matters, including mergers and acquisitions, securities law compliance, corporate governance and commercial financing transactions. In his mergers and acquisitions practice, Mr. Oliver prepares and reviews transaction documents, assists with negotiations and regularly handles purchaser and seller due diligence for publicly held and private companies, as well as private equity clients. He counsels clients on fiduciary duties in connection with critical business changes and events, including change of control transactions.
Mr. Oliver’s securities practice includes drafting and reviewing registration statements, proxy statements and other periodic reports and advising on disclosure matters. Mr. Oliver also has significant experience advising clients on the impact of the Dodd–Frank Wall Street Reform and Consumer Protection Act, developments in exchange rules and regulatory initiatives affecting governance of public companies.
