Scott R. Weiser

Scott Weiser’s practice covers a wide range of business and securities matters. He advises clients with respect to mergers and acquisitions, securities offerings, licensing transactions, corporate governance, regulatory compliance and commercial contracts. His clients, both public and private, cover a broad spectrum of the market, including manufacturing, professional services, new media, logistics, entertainment, fashion, apparel and biotech.

Scott also has extensive experience representing European companies in their U.S. directed transactions.

Representative transactions include:

  • Joint venture between GS1 Germany and GS1 US, uniting their 1SYNC and SA2 Worldsync subsidiaries as 1WorldSync.
  • Acquisition via a reverse subsidiary merger of Reflexite Corporation, a manufacturer of reflective materials and optical components and films, by the ORAFOL Group.
  • Acquisition via simultaneous stock and asset sales of a group of U.S.-based hotel logistics companies by a Swiss freight-forwarding, shipping and logistics group.
  • Acquisition via merger of Inference Data, a developer of analytics and e-discovery software by DOAR Litigation Consulting.
  • Sale of the motion picture “I.O.U.S.A.” by Agora Financial to the Peter G. Peterson Foundation.
  • Leveraged management buyout of a large independent professional services firm.
  • Sale via a single transaction of three e-commerce companies with multiple overlapping ownership structures to a private equity investor.
  • Acquisitions by a publicly traded national fashion company of numerous apparel brands in transactions ranging from approximately $20 million to over $100 million.
  • Exclusive trademark license and subsequent acquisition by a privately held sportswear company of an additional apparel brand.
  • Acquisition by a publicly traded biotechnology firm of a portfolio of assets related to antiviral biodefense.
  • Negotiation of an option by an independent filmmaker for the acquisition of a screenplay.

Scott is a member of the Association of the Bar of the City and New York, where he served as Assistant Secretary to the Task Force on the Lawyer’s Role in Corporate Governance from 2005 to 2006, and in connection with which, he participated in drafting the November 2006 “Report of the Task Force on the Lawyer’s Role in Corporate Governance.” He is also a member of the New York State and American Bar Associations.
