The Fourth Industrial Revolution has forced companies in nearly every industry to address multiple challenges on multiple fronts all at once. The notion that every company is a technology company has created new revenue streams and other economic opportunities while at the same time creating stresses on traditional intellectual property (IP) assets.


  • Represented an integrated managed care consortium in international IT outsourcing matters, including IT staff augmentation services.
  • Assisted the client with the drafting of its form Master Services Agreement (MSA). We carefully reviewed the new privacy laws instituted by India to ensure we had a firm understanding of the practicality and implications of such laws as they apply to our client’s existing relationships with the vendors and the negotiation of the MSA. Based on the three year initial term of each agreement, the total value of the contracts with four different vendors is approximately $700 million.
  • Represented a U.S. professional services firm in managing technology agreements of all scopes and sizes, including licensing deals, web content agreements, website terms, linking agreements and policies, software as a service (SaaS), and other hosting arrangements.
  • Represent mattress sales company that operates across the East Coast in handling all technology and telecoms deals and agreements, including providing counseling, negotiation, drafting, and due diligence services with regard to mergers and acquisitions; licenses; website terms, linking agreements and policies; joint development, contractor, supply, employment and escrow agreements; transfers; assignments; distribution agreements; appearance and location agreements; appearance releases; and other IP and IT transactions involving businesses.
  • Represented one of the largest blood centers in the outsourcing of its IT department, including application development and staff.
  • Represented a major New York hospital in the outsourcing of its data center and application development.
  • Represented a major manufacturing company with the drafting and negotiation of a MSA relating to both BPO and ITO services. The agreement advances the company’s value creation strategy and is a key element in the company’s efforts to significantly improve business process efficiencies and reach cumulative operational cost savings of $70 million through 2014.
  • Represented an insurance company with the review of their RFP; selection of a vendor; and drafting and negotiation of MSA for application development and maintenance. This was a highly confidential and sensitive project for the client and involved rebadging issues. Based on a five year initial term of this agreement, the total value of this contract is approximately $100 million.
  • Represented an apparel company with the launch of its e-commerce website.
