BakerHostetler's Real Estate team has a history of getting projects developed and deals done. Our real estate attorneys have deep capabilities in finance, development, acquisition, disposition, leasing and our firm has the multidisciplinary strengths to solve all the complex contractual, environmental and tax problems that can arise in single-use or multi-use developments. We regularly work on multimillion-dollar and complex mixed-used projects throughout the U.S. and internationally.

Many of our clients have been with us for decades, and they value our deep understanding of their industry, whether it is hospitality, mixed-use or master-planned communities, multi-family or affordable housing. We handle complex real estate matters for a diverse client base across the spectrum of U.S. industries—energy, transportation, retail, manufacturing, healthcare, sports and entertainment, banking and many others.

We counsel owners, developers and sponsors of landmark projects in planning, financing and structuring their tax credit transactions (New Markets Tax Credits, Historic Tax Credits and Low Income Tax Credits), helping to ensure that significant rehabilitation, redevelopment and development projects can obtain and efficiently utilize the financing needed to enable them to succeed.

We collaborate seamlessly with our colleagues across the firm, including with our Hospitality team, one of the nation's leading practices in mixed-use, timeshare and fractional property development, to work through complex projects in a cost-effective manner.

  • Represented a major commercial real estate developer in development of a 1.8 million square-foot facility to be leased to a U.S. clothing company. Negotiated a construction loan in excess of $50 million and a joint venture agreement with the tenant. We represented the developer in nearly every aspect of the transaction from land acquisition through financing.
  • Represent one of the nation's largest owners and managers of affordable housing projects in the Midwest in a currently active expansion program. In the past 12 months, we have assisted the client in its acquisition of 11 affordable and market rate properties in six states totaling more than $100 million in invested value, and in the restructuring and renovation of several of these projects using Low Income Housing Tax Credits.

Experience

  • Represented a leading national waste management company in more than 30 transactions over the last six years in multiple states. We prepared and negotiated transaction documents, reviewed disclosure schedules, reviewed title and survey issues when applicable, and handled all aspects of the closing. The transactions involved landfills, recycling facilities, transfer stations, and waste collection companies.
  • Represented Trammell Crow Company in its acquisition of an office tower in Anaheim, California. Our representation included complicated modification of a securities loan; negotiations with seller, lender, and receiver; tax structuring; and concurrently negotiating a lease for 134,000 square-foot user.
  • Represented a healthcare provider in its acquisition of real property for the development and construction of a 277,000 square-foot corporate headquarter. The project, located in historic downtown Denver, posed several due diligence and entitlement complexities because of its inclusion within multiple historic and preservation districts. We provided real estate services for every phase of the acquisition, development, due diligence, and entitlement, including negotiation and drafting of the purchase agreement, title review, density allocations, and other entitlements, zoning, and land use. We also handled construction contracts, development agreements, closing documentation, closing services, post-construction entitlements, and negotiation of property management agreements.
