Overview

Amy Kellogg is the national co-chair of BakerHostetler's Real Estate team and is the Real Estate practice area coordinator for the Cleveland office. She is a problem-solver, offering clients creative solutions and assistance in helping them reach their goals when it comes to real estate ownership, leasing or expansion of their current facilities. Known as an attorney who can get the deal done, she takes the mystery out of the real estate process and efficiently brings a transaction to each clients’ desired conclusion.

Amy partners closely with her clients, helping them through a variety of different real estate issues, effectively coping with challenges posed throughout the process. She works with public and private corporations that are using their real estate assets as collateral for financing. She also handles their retail, office, industrial and/or commercial leases, as well as any acquisitions of new businesses and integration of new properties into their real estate portfolios. Nonprofit corporations also rely on Amy's practical guidance for their real estate and financing needs.

Theater Relocation
  • Assisted The Cleveland Play House in its move to the downtown theater district in Cleveland, Ohio. Assisted The Cleveland Play House with the sale of its existing theater and negotiated the use agreement and signage agreement for the Allen Theater among The Cleveland Play House, PlayhouseSquare Foundation and Cleveland State University. Helped obtain already appropriated funds from the State of Ohio for use at The Cleveland Play House’s new downtown location.
Leasing
  • Representing The Orvis Company, Inc., in all of its real estate matters, including the leasing of its retail stores, office, warehouse and distribution facilities across the United States.
Industrial
  • Represents Big River Steel, LLC, in all real estate matters connected with the development of a $1.7 billion state-of-the-art steel mill constructed on approximately 2,000 acres along the Mississippi River near Osceola, Arkansas. The representation involves site acquisition, project financing and tax incentives, and advice regarding leasing and development of outparcels.
Real Estate Advice to National Nonprofits
  • Counsels the Board of Church Extension of Disciples of Christ, Inc., regarding its real estate portfolios, including financing issues, foreclosure actions, sales of real property and other issues related to loans it makes to its local churches.
International Real Estate Transaction
  • Member of BakerHostetler team that secured $900 million financing package for industrial packaging manufacturer’s acquisition of the packaging operations of a European company. Handled the mortgages on 37 U.S. properties and 16 foreign properties, including manufacturing plants and warehouses ranging in size from five to 1,100 acres with the average property being 15 to 25 acres. Post-closing obligations include the filing of domestic leasehold mortgages and foreign mortgages.

  • Provided a variety of leasing services to a national big box retailer and national landscape supply company.
  • Handled all real estate leases for an up-and-coming software company as it expands into the United States. Negotiated leases in Chicago, New York, and Boulder. Also assisted with its lease in Montreal and its lease extension in Vancouver.
  • Handled real estate needs on a national scale for a data management company. Provide counsel on several leases and provide assistance in resolving lease disputes.
Industrial
  • Represents Big River Steel, LLC, in all real estate matters connected with the development of a $1.7 billion state-of-the-art steel mill constructed on approximately 2,000 acres along the Mississippi River near Osceola, Arkansas. The representation involves site acquisition, project financing and tax incentives, and advice regarding leasing and development of outparcels.
  • Handled all of the real estate aspects of Mississippi Silicon, LLC’s acquisition and construction of its $200 million silicon metal production facility in Tishomingo County, Mississippi, including negotiation of the project site lease and subleases, acquisition of the site and access road, all due diligence review, negotiation of the mortgages, and satisfying lender requirements.
