Amy Shepherd practices in the business area, with a primary focus in mergers and acquisitions, securities, corporate governance and general corporate and commercial matters. She is experienced in advising clients in various segments of the healthcare and insurance industries in acquisitions and divestitures, SEC reporting requirements and general corporate matters. She focuses on meeting the needs of clients in an efficient and timely manner, maintaining a thorough understanding of their industries to deliver the most effective service to meet corporate needs.

Experience

  • Assists various clients with venture capital investments.
  • Assisted venture capital-backed healthcare client to complete 13 acquisitions in two years, expanding operations into eight states. Provides ongoing advice regarding organizational, commercial and operational matters.
  • Assists physician practices and practice management companies with general corporate matters, and advises regarding entity structuring and compensation in compliance with applicable healthcare laws. Advises and assists physician practices and practice management companies with acquisitions and divestitures.
  • Assists oil and gas companies in the successful completion of public and private offerings of securities.
  • Provides ongoing representation to insurance client related to corporate governance matters, investments and acquisitions.
  • Provides representation to various clients related to filings with the Securities and Exchange Commission (SEC) and related matters. 
  • Provides ongoing advice to two Ohio charitable non-profit corporations regarding registration of the offering of securities in the State of Ohio with the Ohio Division of Securities, including preparation of offering prospectus, investor subscription documents and registration application.
  • Represented a public health care company in a going-private transaction, including preparation of the merger agreement and proxy statement. Provided corporate governance support for the client’s special committee, officers and directors.
  • Represented a Canadian oil and gas client in a series transaction resulting in the sale of all assets of the company to multiple purchasers, dissolution of the company and deregistration with the SEC.
  • Assists clients with board evaluations and self-assessments. Assists clients in establishing an appropriate process, developing the scope and substance of the evaluations/assessments, and, in some cases, facilitating the actual board evaluations, self-assessments and peer reviews.
