We work with clients across various aspects of an outsourcing transaction—including assisting with drafting RFPs and reviewing responses, analyzing, structuring, drafting and negotiating information technology outsourcing (ITO) agreements and business process outsourcing (BPO) agreements, both in the U.S and overseas—as well as the other aspects of outsourcing, such as risk assessment, vendor selection, vendor relationships, and analyzing market trends.

Our Strategic Outsourcing team has considerable experience handling outsourcing arrangements in India, which continues to account for a majority of offshore outsourcing work. Because of our knowledge and experience with India and its laws, we are able to help our clients bridge cross-border differences in business and social culture, language, geopolitical risk, logistical infrastructure, and dispute resolution processes to achieve successful outsourcing arrangements.   • Represented an integrated managed care consortium in international IT outsourcing matters, including IT staff augmentation services. Assisted client with the drafting of its form Master Services Agreement (MSA) with an eye toward new privacy laws in India to ensure the client understood the practicality and implications of the privacy laws as they apply to existing relationships with the vendors and the negotiation of the MSA. The overall value to the client of the MSA was $700 million over the term of the contracts.
  • Represented a specialty chemicals company with the drafting and negotiation of MSA relating to both BPO and ITO services. The agreement advances the client’s value creation strategy and is a key element in its efforts to significantly improve business process efficiencies and reach cumulative operational cost savings of $70 million through 2014.

Experience

  • Represented an insurance company in connection with a highly confidential and sensitive project involving rebadging issues for which we reviewed the RFP, assisted with selection of a vendor, and negotiated and drafted the MSA for application development and maintenance. Based on a five-year initial-term of this agreement, the total value of the contract is approximately $100 million.
