Partners Steven Goldberg and Scott Weiser, together with Associate Geoffrey Hainbach, authored an article for Deal Lawyers titled “Methods to Allocate Tariff-Related Risks in M&amp;A Agreements.” Published in the May-June 2025 issue, the article offers ways to protect both buyers and sellers from the impact of new or future tariffs to the target businesses, including indemnities, closing conditions and earnouts, holdbacks and purchase price adjustments, to name a few.
