Laura's practice focuses on mergers and acquisitions, corporate governance, commercial agreements, and operational and regulatory issues affecting businesses across a variety of industries. She regularly counsels clients through strategic transactions involving pharmacies, healthcare services organizations, pharmaceutical supply chain participants, hospitality companies, real estate ventures and other closely held and growth-oriented businesses. Her representative matters include advising Truepill, a provider of digital health experiences and care services, in its $525 million acquisition by LetsGetChecked, a global healthcare solutions company offering at-home testing, virtual care and medication delivery services.
Drawing on substantial experience with pharmacy operations and regulatory requirements, Laura helps clients navigate multistate licensing matters, change-of-ownership transactions, board of pharmacy requirements, regulatory investigations and compliance obligations. She routinely coordinates licensing, ownership transfer and regulatory submissions across numerous jurisdictions and advises clients on the regulatory implications of corporate transactions.
Laura also maintains a robust commercial contracting practice, advising clients on the negotiation, drafting and administration of agreements that support all facets of pharmacy operations and healthcare delivery. She regularly counsels clients regarding pharmacy services agreements, vendor and supplier contracts, technology and software agreements, PBM- and payor-related arrangements, management and administrative services agreements, and other commercial contracts critical to the operation and growth of healthcare businesses.
Laura is known for providing practical, business-oriented advice that integrates legal, operational and regulatory considerations. She works closely with clients, management teams and investors to develop solutions that support transaction execution while addressing industry-specific regulatory requirements.
