Overview

Monica Verma has more than 20 years of experience in negotiating technology contracts, including technology and business process outsourcing transactions and is co-leader of the firm’s national Technology & IP Transactions and Outsourcing team. She advises clients through every step of technology transactions, from strategy development and the RFP process to contract negotiation and ongoing management. She has experience negotiating contracts with the world’s leading service providers and has represented clients in diverse industry sectors, including insurance, financial services, manufacturing and health services.

Monica regularly counsels clients on how to address the risks associated with implementation and integration, acceptance testing, system configuration, service level agreements, transition planning and other common areas of exposure in technology contracting. She provides practical guidance to companies to identify transactional benefits and risks, assists companies in crafting strategies to address and overcome the risks associated with technology and outsourcing agreements and aids in closing deals within tight budgets and timetables. Prior to practicing in the U.S., Monica practiced law in India. Because of her background, knowledge and experience with India and its laws, she is able to provide unique value to clients by helping them bridge cross-border differences in business and social cultures, language, geopolitical risk, logistical infrastructure and dispute resolution processes in order to achieve successful outcomes when dealing with offshore outsourcing transactions.

Performed detailed analysis of prevailing licenses governing the use and distribution of open source software at the platform and application levels, advised on various risk scenarios, and assisted the client with implementing internal controls and approval processes.
  • Represented a company in a project relating to the implementation of the enterprise resource planning systems for the development and implementation of customer relationship management and supply chain management systems. Counseled the client with respect to managing the development, implementation and configuration process with outside consultants and vendors; drafted and negotiated a master agreement, with the primary consultant providing services related to the system; and drafted and negotiated support, maintenance and service level agreements.
