Steven Goldberg, Jorian Rose Lead BakerHostetler Team Representing Investment Firm in $75 Million Stalking Horse Purchase Agreement for Balducci's, Kings Food Markets

Partner Steven Goldberg, co-leader of the firm’s Mergers and Acquisitions team, along with Partner Jorian Rose, led a BakerHostetler team in representing New York-based venture capital firm TLI Bedrock LLC (TLI) in a $75 million stalking horse purchase agreement with KB U.S. Holdings Inc. (KB), the parent company of popular East Coast grocers Kings Food Markets and Balducci’s Food Lover’s Market. The agreement would see TLI purchase 30 supermarkets, a storage facility and an office at the company’s New Jersey headquarters.

The BakerHostetler team also includes Partners Christopher Carolan, Adam Gale, Ryan Gorsche, Peter Fischer, Alexis Beachdell, John McGowan Jr. and Jessica Parker Malchow; and Associates Michael Parente, Adam Park, Jason Blanchard and Jeffrey Slavin.

Kings Food Markets is a fine foods store with locations in New Jersey, Long Island and Connecticut. Balducci’s originated in New York City and sells specialty gourmet foods in New York, Connecticut, Maryland, and Virginia. KB U.S. Holdings Inc. operates 35 supermarkets in total.
