Jacob Wall helps clients anticipate and navigate the complex legal and regulatory issues at the intersection of technology, law, business and policy. Leveraging his technical background and legal experience, he develops innovative solutions to manage legal and reputational risk.

Jacob counsels clients on a wide range of issues, including artificial intelligence, Internet of Things, critical infrastructure, medical devices, health privacy, international data transfers, incident preparedness, national security and cybersecurity. He helps clients comply with existing privacy and security laws, regulations and industry standards and counsels them on how proposed laws will affect their products and customers.

Jacob focuses on proactive cybersecurity counseling, preparing clients to comply with new and upcoming cybersecurity requirements. In the event of a privacy or security incident, Jacob is well prepared to assist clients in investigating and mitigating the incident and responding to regulatory inquiries. He also has extensive experience advising clients on the privacy and security risks associated with commercial relationships by developing robust contractual terms and assessing the risks associated with mergers and acquisitions. He routinely advises clients on their obligations under the Health Insurance Portability and Accountability Act (HIPAA), the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) and other laws.

Experience

  • Advise clients in the technology, healthcare and financial sectors on a broad range of emerging cybersecurity, privacy, financial technology and AML matters.
  • Counsel clients on privacy laws and regulations, including HIPAA, GDPR and other international laws, CCPA, CPRA, VCDPA, CPA, CAN-SPAM, TCPA and the FTC Act.
  • Conduct privacy and cybersecurity-related due diligence, draft diligence requests and memoranda and review disclosure schedules for multiple acquisitions in the technology and healthcare sectors.
  • Draft incident response plans, business continuity plans and other incident preparedness documents.
  • Prepare and conduct tabletop exercises for senior executive, legal and cybersecurity teams.
  • Respond to multiple cybersecurity incidents, primarily involving ransomware, including supporting law enforcement outreach, counseling clients on making ransom payments involving possible OFAC sanctioned entities and assessing data breach notification obligations.
  • Draft security-related provisions for various data processing addenda and securities-related disclosures, including 10-K risk factors.
  • Draft responses and prepare senior cybersecurity executives for interviews in regulatory investigations in the technology and health insurance sectors.
  • Counsel clients on cybersecurity laws, regulations and industry standards, including the NYDFS Cybersecurity Regulation, Massachusetts data security law, NY SHIELD Act, HIPAA Security Rule, FAR and DFARS, the Cyber Incident Reporting for Critical Infrastructure Act, SEC proposed rules, PCI-DSS, ISO 27000-series, NIST CSF and HITRUST.
  • Draft external privacy and cookie notices and various internal privacy compliance program documents, including acceptable use policies and employee monitoring policies.
  • Counsel technology clients on product privacy and security issues, including issues related to video and audio surveillance arising under ECPA and VPPA.
  • Counsel clients on privacy and cybersecurity transparency issues related to CFIUS export controls and other international trade issues.
