Overview

Miranda Owens assists clients with a variety of commercial transactions, including acquisitions, dispositions, leasing, joint ventures, finance and development of commercial real estate. In her practice, Miranda represents public and private companies and private equity funds in a wide range of industries, including healthcare, consumer products, homebuilding, real estate, energy and technology.

Additionally, Miranda has extensive experience representing large hospital systems and healthcare practices with acquisition, disposition and leasing transactions which are also subject to complex regulations such as Stark and Anti-Kickback laws. Praised for her communication skills, creative problem solving and attention to detail, Miranda uses her innate strengths to assist clients.

Experience

  • Assisted in the sale of a chain of convenience stores that involved 93 markets in multiple states. Responsible for managing loan payoffs and drafting SNDAs, deeds, all closing documents and 1031 exchange documents. Conducted due diligence on prospective commercial properties for a 1031 tax-free, like-kind exchange.
  • Assisted in the representation of one of America’s leading producers of coal in the sale of coal mining properties and equipment. Responsible for performing due diligence, preparing closing documents and managing pre-closing, closing and post-closing activities. Assisted in drafting and negotiating purchase and sale agreement.
  • Prepares and negotiates ground leases, office and retail leases, subleases, easements and other commercial agreements for healthcare, retail and non-profit clients.
  • Represents multi-family housing developers in acquisitions and development of residential communities.
  • Provides real estate advice with respect to mergers, acquisitions and other corporate transactions.
  • Provides real estate advice and assists clients with a variety of condemnation actions.
