Drawing on extensive experience in transactional drafting, due diligence and tax credit financing, Adebare helps clients structure joint ventures and financing arrangements that balance compliance, efficiency and long-term value. He regularly negotiates loan agreements, operating agreements and other key transaction documents while coordinating with lenders, tax advisors and public agencies. Adebare also provides guidance on tax credit eligibility, recapture risks and exit strategies, helping clients navigate complex regulatory requirements and achieve successful project outcomes. Beyond his client work, he mentors junior attorneys and actively contributes to business development and thought leadership efforts within the tax credit finance industry.

<li>Represented a for-profit affordable housing developer in connection with the construction and rehabilitation of an affordable housing project, located in Buffalo, NY with a total development cost of approximately $126 million, financed with New York State subsidy financing, and equity proceeds from the syndication of (i) New York State Low-Income Housing Tax Credits and (ii) federal and New York Historic Tax Credits.</li>
<li>Represented a for-profit affordable housing developer in connection with the closing of an approximately $18.7 million predevelopment loan from the New York Green Bank to fund predevelopment expenses for an affordable housing project under the NYC Permanent Affordability Commitment Together (PACT) program, located in Harlem, NY.</li>
<li>Represented a manufacturing facility operator in an approximately $33 million New Markets Tax Credit financing to fund the expansion and operation of a manufacturing facility, located in Philadelphia, PA.</li>
<li>Represented a community development entity in an approximately $70 million New Markets Tax Credit financing for the demolition, construction, and development of a charter school in the Bronx, NY.</li>
<li>Represented a manufacturing facility in an approximately $12 million New Markets Tax Credit financing for the acquisition, leasing, and operation of an industrial facility in Selma, AL.</li>
<li>Represented a community mental health services operator in an approximately $12 million financing for the construction, expansion, and equipping of a new facility in the Bronx, NY, serving as a mental health center and an alternative to incarceration and day treatment program.</li>
<li>Represented a faith-based developer in connection with the construction of approximately 65 low-income rental housing units in Buffalo, NY, financed with New York State subsidy financing and equity proceeds from the syndication of federal Low-Income Housing Tax Credits.</li>
<li>Represented a for-profit developer in connection with the construction and rehabilitation of a market-rate apartment complex located in Buffalo, NY, financed with conventional construction loan, and equity proceeds from the syndication of federal and New York State Historic Tax Credits.</li>
