<li>Drafts and amends benefit plans to bring them into compliance with applicable law and update them for administrative practices, including amendments related to the SECURE 2.0 Act.</li>
<li>Advises plan administrators on government reporting and participant disclosures, including drafting summary plan descriptions (SPDs) and summaries of material modifications (SMM) and advising on distribution requirements.</li>
<li>Works with health-plan sponsors to develop privacy-compliance programs that comply with the Health Insurance Portability and Accountability Act (HIPAA), including negotiating HIPAA business associate agreements and providing training.</li>
<li>Drafts executive compensation arrangements, including equity incentive awards and deferred compensation plans, in compliance with relevant law, including Internal Revenue Code Section 409A.</li>
<li>Reviews benefits-related information in mergers and acquisitions to identify potential issues.</li>
<li>Analyzes and negotiates the terms of service provider contracts, including contracts with third-party administrators.</li>
<li>Advises plan fiduciaries on their ERISA duties to plan participants and beneficiaries.</li>
<li>Represents clients before the IRS in requests for penalty abatement and plan correction filings under the Employee Plans Compliance Resolution System (EPCRS).</li>
<li>Represents clients before the DOL in plan investigations and plan correction filings under the Voluntary Fiduciary Correction Program (VFCP) and Delinquent Filer Voluntary Compliance Program (DFVCP).</li>
